Terms of Service

1. Eligibility

You must be at least 16 years old to use Cadence. By using the Services you confirm that you meet this requirement and have the legal capacity to enter into these Terms. If you use the Services on behalf of an organisation, you confirm you are authorised to bind that organisation.

2. Our Services

Cadence is a Kanban project-management tool for organising work on shared boards. The Services are provided for your personal, professional, and business use, including by teams and organisations that subscribe to a paid plan. You are responsible for complying with any laws that apply to your own use. The Services are not designed for regulated data (for example, data subject to HIPAA), and you must not use them where such regulations would apply to your use.

3. Intellectual property

We own or license all intellectual property in the Services, including the software, design, text, graphics, logos, and trademarks (the "Content" and "Marks"). Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Services for your personal, professional, or business use. You may not copy, reproduce, republish, sell, or otherwise exploit the Content or Marks for any other purpose without our prior written permission. All rights not expressly granted are reserved.

4. Your account

You agree to provide accurate registration information and to keep it up to date. You are responsible for activity under your account and for keeping your sign-in credentials secure. Tell us promptly if you believe your account has been compromised. We may suspend or terminate accounts that provide false information or violate these Terms.

5. Your content

You own the content you create in Cadence. You grant us the limited permission needed to host, store, process, and display that content solely to provide the Services to you and the people you share boards with. We do not claim ownership of your content and will not sell it or use it for advertising.

You are responsible for the content you add and for any public links you create, and you confirm you have the rights necessary to share it. We may remove or disable content that we reasonably believe violates these Terms or the law, and we may suspend accounts accordingly.

6. Acceptable use

You agree not to:

• use the Services for anything unlawful, harmful, or infringing;
• post content that is illegal, harassing, hateful, defamatory, obscene, or abusive;
• upload viruses, malware, or malicious code;
• harass, threaten, or abuse other users, or our staff;
• scrape or systematically retrieve data, or use bots or automated tools against the Services;
• circumvent, disable, or probe security features, or attempt unauthorised access;
• reverse-engineer, decompile, or copy the software;
• impersonate another person, or sell, share, or transfer your account;
• spam or send unsolicited messages, or collect other users' details for that purpose;
• disrupt or overload the Services or their infrastructure.

7. Plans and billing

• Cadence offers a free plan and a paid Pro plan (€10/month), billed through Stripe. Prices are in euros and may be subject to applicable taxes (such as VAT), handled at checkout.
• Paid subscriptions renew automatically each month until cancelled. You can cancel at any time from the billing portal — you won't be charged again, and access continues until the end of the paid period.
• Refunds. If you are not satisfied, contact us within 14 days of a charge and we will refund it. This is in addition to any statutory withdrawal or refund rights you have as a consumer.
• We may change pricing with reasonable advance notice.

8. Availability

We work to keep Cadence reliable, but the Services are provided "as is" and "as available", without warranties of any kind, to the fullest extent permitted by law. We may modify, suspend, or discontinue features at any time. We are not liable for any downtime, interruption, or loss of data, and you are responsible for keeping your own records of important information.

9. Termination

You can delete your account at any time in Settings. We may suspend or terminate your access if you violate these Terms or applicable law. On termination, your data is handled as described in our Privacy Policy.

10. Disclaimer and limitation of liability

To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

To the fullest extent permitted by law, our total liability to you for any claim arising out of or relating to the Services is limited to the amount you paid us in the twelve (12) months before the claim arose. We are not liable for indirect, incidental, consequential, or punitive damages, or for loss of data or profits. Any claim must be brought within one (1) year of the event giving rise to it, to the extent permitted by law. Nothing in these Terms limits liability that cannot be limited by law — including liability for death or personal injury caused by negligence, fraud, or your mandatory consumer rights.

11. Indemnification

You agree to indemnify and hold us harmless from any claim or demand, including reasonable legal fees, arising out of your content, your use of the Services, your breach of these Terms, or your violation of the rights of a third party or of applicable law.

12. Copyright

We respect intellectual property rights. If you believe content on the Services infringes your copyright, contact us at hello@cadenceflows.com with details, and we will review and respond appropriately.

13. Governing law and disputes

These Terms are governed by the laws of Bulgaria and the European Union. Disputes are subject to the competent courts of Sofia, Bulgaria — provided that, if you are a consumer, you keep the protection of the mandatory laws of the country where you live and may bring a claim there. The European Commission provides a consumer online dispute-resolution resource you may also use.

14. Electronic communications

By using the Services, sending us emails, and completing forms, you consent to receive communications from us electronically, and you agree that electronic agreements, notices, and records satisfy any legal requirement that they be in writing.

15. Miscellaneous

These Terms are the entire agreement between you and us regarding the Services. If any provision is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. We may assign these Terms; you may not. No partnership, agency, or employment relationship is created by these Terms.

16. Boards, sharing, and public links

• You control the boards you own and are responsible for the content you and your collaborators add to them.
• When you share a board, the people you invite can access it according to the role you assign (for example, edit or view-only). If you leave a board or are removed by its owner, you lose access, and content you contributed may remain on the board.
• If you create a public link for a board, you make its contents publicly viewable, in read-only form, by anyone who has the link. You are responsible for ensuring you have the right to share that content publicly, and you may revoke a public link at any time.
• You must not use shared boards or public links to publish content that is unlawful, infringing, or otherwise prohibited under these Terms.

17. Donations

Cadence accepts voluntary donations to support the project. Donations are optional, are not a purchase of any product or service, and are non-refundable except where required by law.
